PLEASE READ THESE CONDITIONS OF USE（"CONDITIONS"）CAREFULLY BEFORE ACCESSING OUR APP OR USING OUR SERVICES ON THIS APP（"SERVICES"）。

1. Use of this App

YOUR USE OF THIS APP OR OUR SERVICES ON THIS APP CONSTITUTES YOUR ACCEPTANCE OF THESE CONDITIONS AND A LEGALLY BINDING AGREEMENT BETWEEN YOU AND ZA BANK LIMITED（"WE"OR "US"）FOR YOUR USE OF OUR APP.

PLEASE DO NOT USE OUR APP OR ANY SERVICES IF YOU DO NOT ACCEPT THESE CONDITIONS.

2. Products and services

Products and services are available only at our discretion. Our provision or offer of any banking product and/or service on our App are subject to the terms and conditions, fees and charges, important rates (such as deposit or loan interest rates and currency exchange rates) or disclosure statements applicable to such product and/or service（"Product Terms and Conditions"）in addition to these Conditions. In the event of any conflict between (1) these Conditions and (2) the Product Terms and Conditions, the Product Terms and Conditions shall prevail.

3. Jurisdiction and restrictions

We control and maintain this App from Hong Kong. The information contained in this App and the Services are primarily directed at persons in Hong Kong and is not intended for distribution to or use by any persons in any jurisdiction where such distribution or use breaches any local law or regulations. We do not represent or warrant that the information contained in this App is appropriate or permitted or available for use in other locations/jurisdictions. You are responsible to find out what those restrictions are and observe them. Please ensure you comply with local laws and regulations applicable to you before using this App or our Services.

These Conditions are governed by and construed in accordance with the laws of Hong Kong. The courts of Hong Kong will have exclusive jurisdiction over any claim arising from, or related to, this App although we retain the right to bring proceedings against you for breach of these Conditions in your country of residence or any other relevant country.

4. Use of information and materials

We only offer products and services available on this App in jurisdictions where we may lawfully do so. This App does not constitute our offer or solicitation to provide products or services to any person to whom it is unlawful to make such offer or solicitation or where the local law or regulation does not permit the use of such products or services. These products and services may be withdrawn or amended at any time without prior notice.

5. Personal data

We will handle your personal data collected via this App in accordance with our "Notice to customers and other individuals relating to the Personal Data (Privacy) Ordinance and the Code of Practice on Customer Credit Data" (" PICS"）. Our PICS may be amended or replaced from time to time. You should check for any updates of our PICS.

Please read our PICS carefully before inputting or uploading any of your data on this App. By using this App, you must have read and understood the PICS and consent to us handling and disclosing your personal data, including sensitive personal data in accordance with our PICS.

To protect the privacy and confidentiality of you and others, please think before you input or upload any private or confidential information of any person, including, but not limited to, personal image or data, account or credit card number, user ID or password, onto or via this App.

6. Electronic signature

Any indication by you of your agreement to any terms (including these Conditions) via this App or such other electronic or execution means prescribed by us from time to time constitutes your electronic signature for the purposes of the Electronic Transaction Ordinance (Cap. 553 of the Laws of Hong Kong).

7. eKYC Services

（"eKYC Services"）refer to the account opening services provided by us through this App under which you may open accounts with us, and/or apply for such other services we may agree to provide from time to time.

By using our eKYC Services, you accept and agree to the following terms:

(a)  you are required to follow such procedure and provide such information and document through this App or such channel as prescribed by us from time to time in order to use the eKYC Services, including your biometric data and such other identification information and/or document as we may require to perform our know-your-customer procedures and/or to comply with applicable laws （"Identification Information"）;

(b)  unless and until you have provided Identification Information satisfactory to us, we are entitled to withhold the provision of any service to you;

(c)  we may (but is not obliged to) rely on any means (including biometric authentication methods), information and/or document provided by you (or a person presenting himself or herself as you) and any security key and/code generated by a device used by you as a means of verifying your identity; and

(d)  we may not be able to provide the eKYC Services to you where your device does not support an identity verification method used by us (such as biometric authentication methods).

8. Biometric Authentication Services

（"Biometric Authentication Services" refer to services where:

(a)  you may use your fingerprint registered on a device in lieu of your user ID and password as a security code to confirm your identity to access this App or any of our Services （"TouchID Service"）;

(b)  you may use your face registered on a device in lieu of your user ID and password as a security code to confirm your identity to access this App or any of our Services"FaceID Service"）; and/or

(c)  we may authenticate your identity by verifying your real-time facial image against your pre-captured image stored in our records for accessing certain Services（"Facial Recognition Service"）.

By using or undergoing the registration process to use our Biometric Authentication Services, you accept and agree to the following terms:

Terms applicable to the TouchID Service and FaceID Service

(a)  you acknowledge and agree that in order to use the TouchID and FaceID Services:

    (i)  you will need to activate the fingerprint and/or face recognition functions on your device and register at least one of your fingerprints and/or your face to control access to the device;

    (ii)  you will be required to undergo a registration process using your user ID and password to choose to use your fingerprints and/or your face you store on your device for accessing the Services;

    (iii)  you must ensure that only your fingerprints and/or your face are stored on your device to access the device and you understand that upon the successful registration of your device, any fingerprint and/or face that is stored on your permitted mobile device can be used to access any of the Services via this App, including access to and operation of your accounts; and

    (iv)  you should ensure the security of your fingerprints and/or your face as well as the password or code that you can use to register your fingerprints and/or your face on the device. In particular, in relation to the FaceID Service:

        (1)  you should not use the FaceID Service if you have an identical twin sibling, in which case you are recommended instead to use the user ID and password to log on to this App;

        (2)  you should not use the FaceID Service if you are an adolescence while your facial features may be undergoing a rapid stage of development, in which case you are recommended to instead use the user ID and password to log on to this App; and

        (3)  you should not take any action to disable any function provided by, and/or agreeing to any settings of, your device that would otherwise compromise the security of the use of your logon credentials for authentication purposes;

(b)  you may still choose to access this App using your user ID and password;

(c)  each time this App detects the use of a fingerprint and/or face registered on a device on which you have registered for the TouchID or FaceID Service to access our Services or authorise transactions, you are deemed to have accessed the Services and/or instructed us to perform such transactions as the case may be;

(d)  you acknowledge that the authentication is performed by this App by interfacing with the fingerprint and/or face authentication module on your device and that you agree to the authentication process;

(e)  you can deactivate the TouchID Service or FaceID Service at any time via this App once you are signed in;

(f)  if you inform us that the security of your fingerprints and/or face has been compromised, we may require you and you agree upon our request to re-register your fingerprints and/or face or cease the use of the TouchID and/or FaceID Services;

(g)  you acknowledge and agree that, for the purposes of the TouchID and/or FaceID Services, this App will be accessing the fingerprint and/or face registered in your device, and you consent to us accessing and using such information for the provision of the TouchID and/or FaceID Services;

Terms applicable to the Facial Recognition Service

(h)  you acknowledge and agree that in order to use the Facial Recognition Service, you will need to switch on the camera function according to the settings of your device;

(i)  each time this App detects taking of a real-time face image with your device after you are signed in to access our Services or authorise transactions, you are deemed to have accessed the Services and/or instructed us to perform such transactions as the case may be;

(j)  you acknowledge that the authentication is performed by this App by interfacing with verifying your real-time facial image taken with the camera on your device and that you agree to the authentication process;

(k)  you cannot deactivate the Facial Recognition Service;

(l)  you acknowledge and agree that, for the purposes of the Facial Recognition Service, this App will be accessing your facial image taken with the camera on your device, and you consent to us accessing and using such data and information for the provision of the Facial Recognition Service;

Terms applicable to all Biometric Authentication Services

(m)  you agree to protect your device and shall be responsible for all uses of your device (whether authorised by you or otherwise) to access the Biometric Authentication Services;

(n)  in addition to and without subtracting the disclaimers and exclusions of liability under these Conditions and the General Account Terms and Conditions:

    (i)  you understand that the fingerprint and/or face authentication and camera modules of your device are not provided by us, and we make no representation or warranty as to the security of the fingerprint and/or face authentication and camera functions of any device and whether it works in the way that the manufacturer of the device represents;

    (ii)  we do not represent or warrant that the Biometric Authentication Services will be accessible at all times, or function with any electronic equipment, software, infrastructure or other services that we may offer from time to time;

    (iii)  unless a law prohibits us from excluding or limiting our liability, we are not liable for any loss you incur in connection with the use or attempted use of Biometric Authentication Services, or your instructions, or any unauthorised transactions through or in connection with the Biometric Authentication Services;

    (iv)  you shall indemnify us and keep us indemnified against any consequences, claims, proceedings, loses, damages or expenses (including all legal costs on an indemnity basis) (except any direct loss or damages caused by negligence or misconduct on the part of us) that may be reasonably incurred by us in providing the Biometric Authentication Services to you arising in connection with any improper use of the Biometric Authentication Services; and

    (v)  we reserve the right to amend, add or delete at any time these terms by giving reasonable prior notice in writing to you and such notice may be made in such manner and by such means of communication as we shall deem fit. You agree to observe and comply with any such amendment, addition and/or deletion when using the Biometric Authentication Services.

If you do not accept these terms, please stop accessing or using the Biometric Authentication Services.

9. Cookies and similar technologies

In these Conditions, the term "cookies" refers to cookies, pixels, and similar technologies that may be used by the ZhongAn Group. The "ZhongAn Group" means each of or collectively ZhongAn Technologies International Group Limited and its subsidiaries and affiliates.

By using this App you agree to our application of cookies to you as outlined in these Conditions. If you do not accept our use of cookies on this App, you may disable cookies on your device.

(a)  What are cookies

Cookies are small data files which are placed on your device when you access certain parts of this App or click on our online advertisements within this App. They enable us to perform behavioural analysis and personal profiling in relation to you, and serve other functions that help us customise and improve our Services. For example, we use the following cookies:

    (i)  Strictly necessary cookies are required for the operation of this App to:

        (1)  allow our server to determine whether the cookies setting on your device have been enabled or disabled. This allows us to know whether data can be collected from your device;

        (2)  temporarily allow you to carry information between pages of this App to avoid you having to re-enter that information; and

        (3)  temporarily identify your device after you have logged in to this App so that our server can maintain a dialogue with your device in order for you to carry out certain activities.

    (ii)  Analytical/performance cookies help us improve this App by tracking your behavior or digital foot-print within this App and recognising your device when you are a repeat user so that we can gather statistics on new and repeat users to evaluate the effectiveness of this App or our Services.

    (iii)  Functionality cookies recognise you when you return to this App. This enables us to:

        (1)  personalise our content for you and remember your preferences (for example, your choice of language or geographical location); and

        (2)  store your login information (eg user name) and login / other preferences so you do not have to re-enter that information when you return to this App.

    (iv)  Targeting/advertising cookies record your access to and/or digital foot-print in this App, your response to our online advertisements, track the pages you have accessed and the links you have followed within this App. We use this information to:

        (1)  make our App more relevant to your interests based on your past behavior;

        (2)  provide online advertisements or offers on our App or third party websites or Apps which are most likely to interest you; and

        (3)  evaluate the effectiveness of our online marketing and advertising programs.

We (or third parties on our behalf) may place different types of cookies on your device when you access this App.

This means that you, and not us, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via this App. We do not guarantee the accuracy, integrity or quality of such Content. You understand that by using this App, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will we or our licensors, suppliers, vendors, parent, holding, subsidiary or related companies, affiliates, officers, agents or employees, as the case may be, be liable in any way for any Content, including, but not limited to, any exposure to offensive, indecent or objectionable Content, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via this App.

You agree not to use this App to:

(a)  compose or upload, or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, pornographic, libellous, invasive of another’s privacy, subversive, hateful, or racially, ethnically or otherwise objectionable or contrary to public interest, public order or national harmony in all relevant jurisdictions;

(b)  compose or upload, or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information);

(c)  compose or upload, or otherwise make available any Content that infringes any patent, trademark, copyright or other proprietary rights of any party;

(d)  compose or upload, or otherwise make available any Content that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or hurt the functionality of any computer software or hardware or telecommunications equipment; or

(e)  collect or store personal data about other persons in connection with the prohibited conduct and activities set forth in sub-paragraphs (a) to (d).

11. Data and material submitted

Whenever you use a feature of this App that allows you to upload any Content, you must comply with the content standards set out in our terms of acceptable use specified above. You warrant that any such contribution will comply with those standards, and you will indemnify us for any breach of that warranty.

You also agree that:

(a)  we have the right to disclose your identity to any third party who is claiming that any material posted or uploaded by you via this App constitutes a violation of their intellectual property rights or of their right to privacy;

(b)  to the extent that you do have any intellectual property rights in any Content that you upload via this App, you grant us and our affiliates and agents a non-exclusive, royalty free, worldwide license to use, copy, amend, edit and distribute to third parties any such Content for any purpose;

(c)  we will not be responsible, or liable to any third party, for the content or accuracy of any Content posted by you;

(d)  we have the right to remove any Content you upload to or make available via this App if, in our opinion, such Content does not comply with the content standards set out in our terms of acceptable use specified above; and

(e)  we can delete in whole or in part any Content you upload to or make available via this App at any time without notice to you.

12. Disclaimer

Although care has been taken in preparing the material and information contained in this App, we do not make any representations or warranties in relation to such contents. We make no representation or warranty regarding non-infringement, security, accuracy, reliability, timeliness, completeness, fitness for a purpose, or freedom from computer viruses in connection with such material and information.

Where information and data is provided by any third party, we do not guarantee its accuracy and reliability and accept no liability for any loss or damage arising from any inaccuracies or omissions.

We do not represent or warrant the accuracy, functionality or performance of any software (including ID/OCR capture, identity authentication, identity verification and facial recognition services provided by us or third parties) that may be used in connection with this App and/or any Service, or its appropriateness of such software for any particular system.

You should familiarise yourself with the terms of service applicable to any third party software that may be used in connection with this App and/or any Service.

You understand and agree that the Services are provided to you on an “as is” and “as available” basis. We accept no liability and will not be liable for any loss or damage arising from your use of this App, howsoever arising, including any loss, damage or expense arising from any defect, error, imperfection, fault, mistake, unavailability or inaccuracy of this App or any of its contents.

Downloading, installing and using this App is at your own and sole risk. We do not assume liability for any loss or damage howsoever caused, as a result of any computer viruses or similar items or processes arising from your use of this App.

13. Transmitting over the Internet

Due to the nature of the Internet, messages and transactions may be subject to interruption, transmission blackout, delayed transmission and incorrect data transmission. We are not liable for malfunctions to communications facilities not under our control that may affect the accuracy or timeliness of the messages and transactions you send. We have a right to delay or refuse to act on an instruction if we are aware of any actual or suspected breach of security or if we determine in our sole discretion that there are other suspicious circumstances relating to the use of this App.

14. Email

Email messages sent to us over the Internet cannot be guaranteed to be completely secure. We are not responsible for any damages incurred by you if you send a message to us, or if we send a message to you at your request, over the Internet.

15. Hyperlinks

This App may contain hyperlinks to other sites on the Internet or any other mobile applications which are not maintained or controlled by us. You access those sites, downloadable contents or applications at your own risk and we are not responsible for any difficulties or consequences associated with such access or downloading. Please be mindful that when you click on a link or leave our App you will be subject to terms of use, privacy policies or other provisions of those other sites or applications.

We do not investigate, verify, monitor or endorse the content, of such sites or the accuracy, opinions expressed, and other links provided by those sites. We shall not be responsible or liable for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such information, contents, goods or services available on or through any such sites.

16. Location and other functions and information about your device

To enjoy certain functions of this App and/or to facilitate our prevention or detection of money laundering, terrorist financing and fraudulent activities, you need to:

(a)  switch on the relevant functions, such as the location service and camera function, according to the settings of your device; and

(b)  enable the sharing of certain information relating to your device, including your GPS, location, IP address, contact list, your device’s hardware design configurations (eg device code, screen size, manufacturer etc.), list of mobile applications, messages, browsing history, downloads, calendar, emails and photo album (including image, audio and video files).

If you choose not to do so then certain functions of this App will not be available to you.

17. Third party products and services

This App may from time to time provide information to users about third parties who may be prepared to make available to users goods, products or services or offers or discounts that are not offered or provided by us（" Merchandise"）.We are not party to any contractual arrangements entered into between you and the provider of such Merchandise unless otherwise expressly specified by us. We make no and/or disclaim all representations and warranties with respect to availability, merchantability, or fitness for a particular purpose, in relation to the provision of the Merchandise. We will not be responsible and shall in no event be liable for any damages relating to the unavailability, use, or performance of the Merchandise mentioned in this App.

18. User indemnity

You will indemnify, hold harmless and defend us against any actions, claims, other liabilities and all costs suffered or incurred as a result of:

(a)  your access or use of this App, including but not limited to the breach of these Conditions by you; or

(b)  access or use of this App by any other person (where such person was able to access or use this App or any Services using your identification number and/or password (including the OTP (as defined below)), including but not limited to the breach of these Conditions by that person.

19. Security

Unauthorised entry into our systems, misuse of passwords, or misuse of any information posted on our App is strictly prohibited.

You must:

(a)  ensure that any user ID and/or password used by you in connection with this App or any Services is kept secure, and that no person other than you obtains access to that user ID and/or password;

(b)  safeguard your mobile phone number and/or email address registered for receiving OTP (as defined below), and any security device, security token, smart card or other hardware device for identity authentication purposes in connection with this App or any Services（"Credentials"）;

(c)  advise us of any change to your mobile phone number and/or email address registered for receiving OTP (as defined below) without delay;

(d)  notify us as soon as reasonably practicable if you become aware of or suspect:

    (i)  any loss, theft, disclosure, compromise, unauthorised use or control of any Credential or your device; and

    (ii)  any unauthorised use of our Services having been conducted over your account via this App.

You should notify us via our designated channels as we may specify from time to time. You bear the risks for any use of the Services by any unauthorised person that occurs before we actually receive your notification; and

(e)  delete this App and all Credentials stored on your device before disposing of it or before passing your device temporarily to someone else, and immediately upon termination of your account or the Services.

20. One time password

One time passwordOTP"）means a unique randomly generated one time password that is required to access certain facilities that are part of our Services which we will provide to you using your mobile phone number and/or email address that has been registered with us, or via a security token or such other agreed method.

If you have registered your mobile phone number and/or email address for receiving the OTP, you acknowledge and agree that:

(a)  your registered mobile phone number and/or email address will be used to receive SMS notifications from us;

(b)  you shall use your own mobile phone number and/or email address for receiving the OTP;

(c)  if you have registered your mobile phone number for receiving the OTP and you are abroad or using an overseas mobile service network, the service provider may not allow you to receive international SMS, and service charges may be levied by your service provider. We will not be liable for any charges requested by the service provider of the mobile phone number; and

(d)  delivery of the SMS-based or email-based OTP may be subject to delayed transmission due to network traffic of the service provider of the mobile phone number or the Internet. We will not be liable for any interruption, delays or unavailability due to any failure of the telecommunication network or the Internet.

21. Device Security Key

"Device Security Key" means a unique generated identifier used by us to identify your device and authenticate your identity that is required to access certain Services. Our system will automatically recognise your device each time you log in using the same device (by matching the device against the Device Security Key stored in our records) as a means of authenticating your identity.

You acknowledge and agree that:

(a)  you may only use one device for accessing this App at any given time;

(b)  if you use any device（"New Device"）(other than the original device used for generating the current Device Security Key （"Original Device"）)for logging-in, you will need to use other additional Credentials as specified by us, until we have assigned a new Device Security Key to you for your New Device; and

(c)  the Device Security Key stored in the Original Device will automatically deactivate once we have assigned a new Device Security Key to you for your New Device.

22. Intellectual property rights

We or other members of the ZhongAn Group own the rights to or are licensed to use:

(a)  the trade marks, logos, service marks displayed on this App; and

(b)  all contents of this App (including text, graphics, links and sounds).

Such trade marks, logos, service marks and contents shall not be copied, modified, downloaded, distributed, published, reused, reposted, reverse engineered, decompiled or made any use of (whether by yourself or a person authorised by you) without our prior written persission. In relation to any information or material you submit to us using this App, you hereby grant to us a worldwide, royalty-free, perpetual, irrevocable, sub-licensable right and licence to use such information or material for any purpose we deem appropriate, including without limitation, the copying, modification, transmission, distribution and publication thereof, unless restricted by applicable law. You represent and warrant that such information or material you submit does not infringe the rights of any third party.

You agree that we shall not be under any obligation of confidentiality to you regarding any such information or material submitted to us using this App unless otherwise agreed in a separate direct contract between us or required by law.

23. Out of date

The Content provided in this App may be out of date at any given time. We are not obliged to update the Content on this App.

24. Severability

If any one or more of these Conditions, or their application in any circumstance, is held invalid, illegal or unenforceable in any respect for any reason, the validity, legality and enforceability of that term or condition in any other respect and the remaining Conditions shall not in any way be impaired.

25. Termination

We may terminate these Conditions, your access to this App and/or your use of any Service at any time, without cause or notice.

26. Modification

We may change any information or material contained on this App and these Conditions in our discretion without prior warning or notice. Your use of this App will signify your consent and acceptance to any changes to this App from time to time. We may suspend or stop this App and/or any of the Services for any reason whatsoever and we are not liable for any such suspension or unavailability at any time or for any period.

27. English prevails

If there is any inconsistency or conflict between the English and the Chinese versions of these Conditions, the English version prevails.
